Software License Agreement

This License Agreement ("Agreement") is between LogicAI Developer LLC ("Licensor") and the person or entity purchasing a license ("Licensee") for NivorionAI Invoice Studio (the "Software"). It applies in addition to the Terms of Service.
1. Grant of license
Upon full payment, Licensor grants Licensee a perpetual, non-exclusive, non-transferable license to use, modify and deploy the Software according to the purchased plan.
2. Plan scope
Web Edition: one production deployment of the web version for Licensee's own business or for a single end client.
Complete: one production deployment of the web version plus building and distributing the desktop application under Licensee's brand for Licensee's own business or a single end client.
Agency: unlimited deployments for Licensee and its clients, including offering the Software as a hosted service (SaaS) and white-label delivery to clients.
Development, testing and staging environments do not count as production deployments.
3. Restrictions
Licensee may not resell, sublicense or publicly distribute the Software's source code as a standalone product, template or competing source-code package, nor publish it in public repositories, except where the Agency plan expressly allows delivery to clients.
4. Open-source components
The Software is based in part on open-source code, including Invoice Builder by Evaldas L. released under the MIT License. Those components remain subject to their original licenses, whose notices are included in the package (LICENSE, NOTICE). Nothing in this Agreement restricts rights granted by those licenses. "Invoice Builder" is a trademark of its owner; NivorionAI Invoice Studio is not affiliated with or endorsed by them.
5. Branding
Licensee may remove the NivorionAI branding from the Software and replace it with its own. Licensee may not use the NivorionAI name or logo to market its own products without written permission.
6. Updates
Licensee is entitled to download updates released during the update period of the purchased plan. Versions obtained during that period may be used perpetually under this Agreement.
7. Warranty and liability
The Software is provided "as is" without warranty of any kind. Licensor's total liability is limited to the license fee paid. Licensee is responsible for ensuring that generated documents comply with applicable law.
8. Termination
This license terminates automatically if Licensee breaches this Agreement or if the payment is refunded or reversed. Upon termination Licensee must stop using and delete the Software, except components covered by open-source licenses.
