1. Eligibility and account

You must be at least 18 years old and able to enter into a binding contract. If you act on behalf of a company, you confirm that you are authorized to bind it.

You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.

2. Products

NivorionAI sells licenses to software products, including NivorionAI Invoice Studio, delivered as downloadable source code archives. Product descriptions, screenshots and feature lists on the website are provided in good faith and may be updated as the products evolve.

Your use of the downloaded software is governed by the NivorionAI Software License Agreement and by the open-source licenses of third-party components included in the package.

3. Prices and payment

Prices are shown in US dollars and are one-time fees unless stated otherwise. Applicable taxes may be added at checkout depending on your location.

Payments are processed by third-party payment providers. We do not store full card details. An order is complete once the payment is confirmed, after which your license key and downloads become available in your account.

4. Delivery

Delivery is digital and immediate: after payment confirmation the purchased packages are available for download from your account for the duration of your update period. We recommend keeping your own copy of the files.

5. Updates and support

Each plan includes access to updates for the period stated on the pricing page. Support is provided by email on business days for questions about installing and using the product as delivered. Custom development is not included unless purchased separately.

6. Acceptable use

You agree not to misuse the website, attempt to gain unauthorized access, interfere with its operation, share your account or download links with third parties, or redistribute the source code except as permitted by the License Agreement.

7. Intellectual property

The NivorionAI name, logo and website content are the property of LogicAI Developer LLC. Purchasing a license does not transfer ownership of our trademarks. Third-party components remain the property of their respective authors and are provided under their own licenses.

8. Disclaimer

The software is provided "as is". We do not guarantee that documents generated with the software comply with the tax, accounting or invoicing regulations of your country; you are responsible for verifying compliance.

9. Limitation of liability

To the maximum extent permitted by law, LogicAI Developer LLC shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data or business. Our total liability for any claim is limited to the amount you paid for the license giving rise to the claim.

10. Termination

We may suspend or terminate accounts that breach these Terms. You may close your account at any time by contacting us. Sections that by their nature should survive termination will survive.

11. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Mandatory consumer protection rules of your country of residence remain unaffected.
